THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

BY USING THE SERVICES ON THIS WEBSITE, YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THIS AGREEMENT, AND YOU ACCEPT AND ARE BOUND BY THESE TERMS AND CONDITIONS.  YOU AFFIRM THAT IF YOU SUBMIT AN APPLICATION ON BEHALF OF AN ORGANIZATION OR ENTITY, YOU HAVE THE LEGAL AUTHORITY TO BIND ANY SUCH ORGANIZATION OR ENTITY TO THESE TERMS AND CONDITIONS.

YOU MAY NOT USE THE SERVICES OF THIS WEBSITE IF YOU (A) DO NOT AGREE TO THESE TERMS, (B) ARE NOT THE OLDER OF (i) AT LEAST 18 YEARS OF AGE OR (ii) LEGAL AGE TO FORM A BINDING CONTRACT WITH THE COMPANY, OR (C) ARE PROHIBITED FROM ACCESSING OR USING THIS WEBSITE OR ANY OF THIS WEBSITE’S CONTENTS, GOODS OR SERVICES BY APPLICABLE LAW.

These terms and conditions (the “Terms”) apply to the procurement of the products and services offered through www. madisonparkerfinance.com (the “Site”). These Terms are subject to change by MPF, Inc. dba Madison Parker Enterprises (referred to as “us”, “we”, “our, as the context may require, or the “Company”) without prior written notice at any time, in our sole discretion. Any changes to the Terms will be in effect as of the “Last Modified Date” referenced on the Site. You should review these Terms prior to using any product or service that is available through this Site. It is your responsibility to check this page periodically for changes.  Your continued use of this Site after the “Last Modified Date” will constitute your acceptance of and agreement to such changes.

These Terms are an integral part of the Site and apply generally to the use of our Site. You should also carefully review our Privacy Policy, which are available on the Site and incorporated herein by reference, before contracting for any of the products or services through this Site (see Section 10).

  1. Eligibility. Use of the Site’s services is void where prohibited. By using the Site’s services, you represent and warrant that (a) all application information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 18 years of age or older; (d) you are authorized to bind your organization or entity, if an application is submitted on behalf of such organization or entity; and (e) your use of the Site’s services does not violate any applicable law or regulation. We may choose not to accept your application at our sole discretion, even after we send you a confirmation email that your application has been received. At all times, you agree to provide true, accurate, current, and complete information about yourself and your accounts maintained at other websites and you agree to not misrepresent your identity or your account information. You agree to keep your account information up to date and accurate.
  2. Third-Party Service Providers. You are licensing to the Company and its affiliates, any information, data, passwords, materials or other content (collectively, “Applicant Information”) you provide through or to the Site for the purpose of enabling the Company and its affiliates to provide you the Site’s products and services. During the term of this Agreement, the Company and its affiliates may use, modify, display, distribute and create new material using such Applicant Information to provide the Site’s products and services to you. By submitting Applicant Information, you automatically agree, or promise that the owner of such Applicant Information has expressly agreed that, without any particular time limit, and without payment of any fees, the Company and its affiliates may use the Applicant Information for the purposes set out herein.

By using the Site’s services, you authorize the Company and its affiliates to access third-party sites designated by you, on your behalf, to retrieve information requested by you, and to register for accounts requested by you. For all purposes hereof, you hereby grant the Company and its affiliates a limited power of attorney, and you hereby appoint the Company and its affiliates as your true and lawful attorney-in-fact and agent, with full power of substitution and resubstitution, for you and in your name, place and stead, in any and all capacities, to access third- party internet sites, servers or documents, retrieve information, and use your information, all as described above, with the full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such activities, as fully to all intents and purposes as you might or could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN THE COMPANY OR ITS AFFILIATES ACCESS AND RETRIEVE INFORMATION FROM THIRD-PARTY SITES, THE COMPANY AND ITS AFFILIATES ARE ACTING AS YOUR AGENT, AND NOT THE AGENT OR ON BEHALF OF THE THIRD PARTY. You agree that third- party account providers shall be entitled to reply on the foregoing authorization, agency and power of attorney granted by you. You understand and agree that the Site’s products and services are not endorsed or sponsored by any third-party account providers accessible through the Site. You acknowledge that through the use of the Site’s services, the Company and its affiliates shall have access to your account credentials, including, but not limited to, login username and passwords.

  1. General Undertakings. You accept sole responsibility for all of your activities using the Site, including your conduct on the site. You will not use the Site’s services for any unauthorized or illegal purpose. You will be responsible for ensuring that you do not violate any laws of your jurisdiction, including, but not limited to, intellectual property laws, such as copyright laws. You will not upload or transmit viruses, worms or any other destructive code. You will not use bots to engage the Site’s services.
  2. Fees and Payments. Certain services offered on the Site may require the payment of fees, interest and/or other amounts to the Company and/or its affiliates. These services may be subject to separate agreements into which you must enter prior to participating in such service. You shall pay all applicable fees, interest and/or other amounts.  All charges are subject to change. You also shall pay all applicable taxes.
  3. Errors, Inaccuracies or Omissions. Occasionally there may be information on our Site that contains typographical errors, inaccuracies or omissions that may relate to the products offered on the Site. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or deny applications if any information on the Site is inaccurate at any time without prior notice (including after you have submitted your application). We undertake no obligation to update, amend or clarify information on the Site, except as required by law. No specified update or refresh date applied on the Site should be taken to indicate that all information on the Site has been modified or updated.
  4. Warranty and Disclaimers. YOU AGREE THAT YOUR USE OF THE SITE AND SERVICES OFFERED THEREON SHALL BE AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF. THE COMPANY MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY OR COMPLETENESS OF THIS WEBSITE’S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE.

The availability of products or services through our Site does not indicate an affiliation with or endorsement of any such product or service. We do not warrant that the quality of any products, services, information, or other material applied for or obtained by you will meet your expectations, or that any errors in the products will be corrected. The Site’s products and services are provided AS IS and the Company assumes no responsibility for any failure in providing the Site’s products or services to you. The Company may change, suspend or discontinue any or all of the Site’s products or services for any reason, at any time, including the availability of any products or services. The Company may also impose limits on all or any of the Site’s products or services or restrict your access to parts or all of the Site’s products or services without notice or liability.

IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES WHATSOEVER, INCLUDING LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY (i) BREACH OF THESE TERMS, (ii) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT OR SERVICES, (iii) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR OTHER INFORMATION STORED THEREIN, AND/OR (iv) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

OUR SOLE AND ENTIRE MAXIMUM LIABILITY , FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE PRODUCTS AND SERVICES YOU HAVE APPLIED FOR USING OUR SERVICES.

The limitation of liability set forth above shall : (i) only apply to the extent permitted by law and (ii) not apply to (A) liability resulting from our gross negligence or willful misconduct and (B) death or bodily injury resulting from our acts or omissions.

  1. Indemnification. You agree to indemnify, defend and hold harmless the Company and any parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
  2. Privacy. We respect your privacy and are committed to protecting it. Our Privacy Policy governs the processing of all personal data collected from you in connection with your purchase of products or services through the Site.
  3. Intellectual Property Rights. The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. To the best of its knowledge, the Company uses only content that it owns or is otherwise allowed and permitted for use by the owner/s of the copyrights and other intellectual property rights therein.

All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.
  2. Links from the Websites. If the Site contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Site, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.
  3. Force Majeure. We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, pandemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
  4. Governing Law and Jurisdiction. This Site is operated from the United States. All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of New York.
  5. Dispute Resolution and Binding Arbitration.
  6. YOU ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE AND EQUITABLE CLAIMS) BETWEEN YOU AND US ARISING FROM OR RELATING IN ANY WAY TO YOUR PURCHASE OF PRODUCTS OR SERVICES THROUGH THE SITE, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.

  • The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Consumer Arbitration Rules (the “AAA Rules”) then in effect, except as modified by this Section (The AAA Rules are available at www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this section.

The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the agreement is void, voidable, or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator(s) will be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction.

The arbitrator may award the prevailing party reasonable attorneys’ fees and costs.

  • You agree to an arbitration on an individual basis. In any dispute, NEITHER YOU NOR THE COMPANY WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS IN COURT OR IN ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction.

If any provision of this arbitration agreement is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced.

  1. Limitation on Time to File Claim. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
  2. Assignment. You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section 18 is null and void. No assignment or delegation relieves you of any of your obligations under these Terms. We reserve the right to assign our rights and obligations in any financial product to an affiliate or otherwise at our sole discretion.
  3. No Waivers. The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of the Company.
  4. No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person other than you.
  5. Notices.
  6. To You. We may provide any notice to you under these Terms by: (i) sending a message to the email address you provide or (ii) by posting to the Site. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current.
  7. To Us. To give us notice under these Terms, you must contact us as by email at info@madisonparkerfinance.com. We may update the email address for notices to us by posting a notice on the Site. Notices provided by email transmission will be effective one business day after they are sent.
  8. Your Comments and Concerns. This website is operated by the Company. All feedback, comments, requests for technical support, and other communications relating to the Website should be directed to: info@ madisonparkerfinance.com.
  9. Severability. If any provision of these Terms is invalid, illegal, void or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms.
  10. Entire Agreement. Our contract(s), our Website Terms of Use, and our Privacy Policy will be deemed the final and integrated agreement between you and us on the matters contained in these Terms.
